Terms and Conditions


The terms and conditions contained herein are intended to provide clarification of standard operational practices, procedures, and limitations. These conditions do not represent all possible scenarios, conditions, options, or resolutions. As such, in the event of an issue that does not conform to the predetermined terms and conditions, Tisch reserves all rights to resolve the matter in a way determined, through arbitration or mediation, to be equitable for all parties concerned. Placing an order for goods or services from Tisch serves as acceptance of all terms, conditions, and policies as identified on this site. Customers may review shipping policies, privacy policies, and billing information at any time using the links provided throughout the Tisch website.


Customer Accounts

Customers are encouraged to create an account to store order history, account information, contact information, and shipping and billing addresses. A customer account is not required to place an order. However, placing an order as a guest also serves as acceptance of the Tisch terms and conditions. As described in the Tisch privacy policies, customer information is secured and will not be shared with third parties.

Customers seeking to establish tax-exempt status must create a customer account, provide all required documentation validating tax exemption status, and receive confirmation of acceptance before tax exemption can be applied. Tax exemptions will not be granted to any company, individual, or entity using a guest account. Tax exemptions are only available if the exempt status is accepted prior to an order being placed. Tisch holds no obligation to refund taxes on orders processed before tax exemption status is approved.


Confidential and Proprietary Information

Product and or marketing documents may contain detailed, proprietary information, including measurements, material data, specifications, or information regarding manufacturing processes or product usage. The dissemination of proprietary intellectual data is intended solely for use by the customer and may not be duplicated, distributed, or replicated without express, written permission from Tisch and or its manufacturing partners.

Unauthorized disclosure of confidential information may cause irreparable harm to Tisch and or its manufacturing partners, for which monetary damages may be inadequate. Therefore, Tisch and or its manufacturing partners shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.


Pricing

Established prices for goods and services are reviewed at regular intervals at the sole discretion of Tisch and may be adjusted at any time. Tisch shall update affected prices on the website as changes occur. If an order has been accepted and acknowledged, it will be protected from subsequent price changes as part of the sales agreement.

Tax changes, material costs, transportation costs, tariffs, import and export fees, and other expenses may impact product pricing outside of normal update schedules. While prices may be subject to change, customers will have the opportunity to review or cancel their order without penalty if done within five (5) business days from order acceptance.


Customer Orders

Submitting an order for the purchase of goods or services electronically, by phone, fax, or by any other method of communication is considered valid only once the customer receives an order acknowledgment and confirmation from Tisch.

Conditions of sale include acceptance and acknowledgment of the product, any applicable custom requirements, quantity ordered, total cost to the customer including sale price, taxes, shipping fees, duties, tariffs, and other applicable charges, agreement on a valid shipping destination, and acceptance of payment terms. Tisch reserves the right to decline any order if conditions of sale are incomplete, disputed, or if payment cannot be verified or fraud is suspected.

Customers are responsible for reviewing all policies contained herein, as well as those included in shipping policies, privacy policies, and billing information, prior to initiating a purchase. Once conditions of sale are approved and the order is acknowledged, customers may not alter the agreement without express, written consent from Tisch.

If a customer cancels or alters an order after acknowledgment, the customer may be subject to a fee not to exceed ten percent (10%) of the original order value. Tisch may waive this fee at its sole discretion. Certain circumstances may require an order to be canceled by Tisch, including but not limited to product unavailability or pricing or description errors. In such cases, customers will be notified promptly and issued a full refund.

If an error occurs during order processing, Tisch retains the right to correct the error. Customers will be notified with details regarding the nature of the error, corrected information, and steps taken to prevent recurrence. If an error attributable to Tisch results in the customer’s decision to void the purchase, the order will be canceled and any payments received will be refunded.


Legal Disclaimers

If any provision of these Terms and Conditions is determined to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, war, terrorism, civil unrest, fire, flood, earthquake, labor disturbances, pandemics, governmental actions, or disruptions to transportation or communication systems (a Force Majeure Event). The affected party shall promptly notify the other party and make commercially reasonable efforts to resume performance. If such an event continues for more than thirty (30) consecutive days, either party may terminate the agreement upon written notice.

All contracts formed through the request and acknowledgment of goods or services shall be governed by and construed in accordance with the laws of the State of Ohio. The customer consents to this jurisdiction. If the customer initiates legal proceedings against Tisch in any other jurisdiction, the customer agrees to assume all associated legal costs, including reasonable attorney fees and related expenses.

No waiver shall be valid unless in writing and signed by an authorized representative of Tisch. Any waiver granted shall not release the customer from future compliance. Tisch shall not be held liable for errors or omissions arising from its own actions or those of its suppliers.
